Bangladesh Operations
1
Definitions
In these Terms and Conditions (“Terms”), the following terms shall have the meanings set out below:
“FSN-GTI” / “We” / “Us”
FSN Solutions Limited, a company registered and incorporated in Bangladesh, operating the Global Technology Institute (“FSN-GTI”).
“Learner” / “You”
Any individual who registers for, enrolls in, or accesses FSN-GTI’s Services, whether as a paying student, a sponsored participant, or a guest user.
“Services”
All online and in-person training programs, courses, workshops, certifications, LMS access, laboratory access, course materials, and any other educational or ancillary services offered by FSN-GTI.
“Website”
The website accessible at https://fsn-gti.com and all associated subdomains, platforms, and digital environments.
“Course Content”
All videos, text materials, assessments, software tools, datasets, recorded sessions, and other educational materials made available to enrolled Learners.
“Enrolment Agreement”
The binding contract formed between FSN-GTI and a Learner upon completion of registration and payment for a specific course or program.
“Privacy Policy”
The FSN-GTI Privacy Policy (Bangladesh Operations), which governs the collection, processing, and retention of personal data and forms part of these Terms.
“Refund Policy”
The FSN-GTI Refund Policy (Bangladesh Operations), which governs the terms on which fees may be refunded and forms part of these Terms.
“Intellectual Property”
All copyright, trademarks, patents, design rights, database rights, and other intellectual property rights subsisting in the Website, Course Content, and associated materials.

Acceptance and Agreement to Be Bound
By accessing the Website, creating an account, or enrolling in any course or program offered by FSN-GTI, you agree to be legally bound by these Terms, the Privacy Policy, the Refund Policy, and any course-specific terms communicated to you at the time of enrolment (together, the “Agreement”). If you do not agree to these Terms, you must not use the Website or Services.
These Terms constitute a binding contract between you and FSN Solutions Limited, governed by the laws of the People’s Republic of Bangladesh. In the event of any conflict between these Terms and any course-specific terms, the course-specific terms shall prevail in respect of that course only.
By accessing or using FSN-GTI’s services, the User acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
FSN-GTI shall not be liable for indirect, incidental, or consequential damages, except where such limitation is not permitted under applicable law. FSN-GTI shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, governmental actions, or technical failures.
FSN-GTI reserves the right to decline or withdraw acceptance of any enrolment at its reasonable discretion, including where an applicant does not meet the eligibility requirements set out in Section 3.

Eligibility
To enroll in FSN-GTI’s Services, you must:
a)Be at least eighteen (18) years of age, being the age of majority in Bangladesh;
b)Have the legal capacity to enter into a binding contract under applicable law;
c)Provide accurate and complete registration information;
d)Not be barred from receiving the Services under any applicable law, court order, or regulatory determination.
Learners Aged 16–18
Where FSN-GTI offers programs attended by individuals between sixteen (16) and eighteen (18) years, enrolment is conditional upon verified written parental or guardian consent prior to enrolment. FSN-GTI shall retain such consent as part of the enrolment record.
International Learners
International learners (those resident outside Bangladesh) may access FSN-GTI’s online Services subject to compliance with the laws of their country of residence. It is the international learner’s responsibility to ensure compliance with the laws of their jurisdiction.

User Accounts
a)You must create an account to access the full range of FSN-GTI’s Services. You agree to provide accurate, current, and complete information during registration and to keep that information updated throughout your enrolment.
b)You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether authorized by you or not.
c)You must notify FSN-GTI immediately upon becoming aware of any unauthorized use of your account or any other security breach, by contacting
info@fsn-gti.com or calling +880 1602-058897.
d)FSN-GTI reserves the right to suspend or terminate accounts where there is reason to believe that account credentials have been compromised, used fraudulently, or shared with unauthorized third parties.
e)You must not create multiple accounts for the same individual. Where FSN-GTI detects duplicate accounts, it may merge or terminate the additional accounts without notice.
f)Account credentials are personal and non-transferable. Sharing login credentials with another person constitutes a breach of these Terms and may result in termination of access without refund.

Enrolment, Fees, and Payment
5.1 Enrolment
a)Course offerings, descriptions, schedules, prerequisites, and fees are published on the Website and are subject to change. FSN-GTI will give reasonable advance notice of material changes to a course for which a Learner is already enrolled.
b)Enrolment is confirmed upon FSN-GTI’s acceptance of your completed registration and receipt of the applicable fee or agreed first instalment.
c)FSN-GTI reserves the right to decline an enrolment application at its reasonable discretion, including where a course is full, where the applicant does not meet stated prerequisites, or where FSN-GTI reasonably determines that admission would be contrary to the interests of other Learners or the program.
5.2 Fees and Payment
a)All fees are denominated in Bangladeshi Taka (BDT) unless otherwise specified for international enrolments.
b)FSN-GTI accepts payment via bKash, Nagad, Rocket, SSLCommerz, credit and debit cards, and bank transfer. All payment processing is subject to the terms of the applicable payment provider.
c)Full payment or the agreed first instalment must be received before access to Course Content is granted.
d)FSN-GTI shall issue a payment receipt for every transaction. It is the Learner’s responsibility to retain this receipt.
e)FSN-GTI reserves the right to adjust fees for future enrolments with a minimum of thirty (30) days’ advance notice published on the Website. Fees for courses in which a Learner is already enrolled shall not be increased during the enrolment period without the Learner’s written consent.
5.3 Instalment Payments
a)Where a course is offered on an instalment basis, the instalment schedule, amounts, and due dates shall be communicated to the Learner at the time of enrolment and shall form part of the Enrolment Agreement.
b)Failure to make an instalment payment by its due date may result in suspension of access to Course Content until the overdue amount is settled. FSN-GTI will give the Learner seven (7) days’ written notice before suspending access.
c)Where a Learner discontinues a course after commencement, the obligations under the instalment schedule are governed by the Refund Policy. FSN-GTI will not pursue instalment arrears that exceed the proportionate value of Course Content already delivered.

Access to Course Content
a)Upon confirmed enrolment and payment, FSN-GTI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Course Content for your personal educational purposes during the applicable access period.
b)The access period for each course will be specified at the time of enrolment. Where no access period is specified, the default access period is twelve (12) months from the date of enrolment.
c)You must not share, distribute, copy, reproduce, record, transmit, publicly display, or create derivative works from any Course Content without FSN-GTI’s prior written consent. Breach of this obligation may result in immediate termination of access and legal action.
d)Course Content is provided for educational purposes only. It does not constitute professional advice. FSN-GTI accepts no liability for decisions made in reliance on Course Content outside a supervised educational context.
e)FSN-GTI may update, modify, or withdraw specific Course Content to reflect developments in industry standards, law, or technology. Where material changes are made, FSN-GTI will notify the Learner and offer a proportionate remedy including access extension or partial credit.

Laboratory Access
For programs delivered wholly or partly through laboratory facilities at BHTPA-affiliated universities, the following additional terms apply:
a)Laboratory access is subject to the rules, hours, and availability policies of the relevant BHTPA-affiliated university. FSN-GTI does not control university facility access and cannot guarantee uninterrupted laboratory availability.
b)Learners must comply with all university facility rules, safety protocols, and codes of conduct applicable to the relevant laboratory.
c)Laboratory access is granted solely for the enrolled FSN-GTI program. Use for personal projects, commercial activities, or unrelated purposes without written authorization from both FSN-GTI and the university is prohibited.
d)All cybersecurity tools used in laboratory sessions are subject to FSN-GTI’s ethical use standards. Use of offensive security tools outside designated isolated training environments is strictly prohibited and may constitute a criminal offence.
e)FSN-GTI will use its best endeavors to provide advance notice of planned laboratory closures or schedule changes. Where laboratory access is withdrawn due to circumstances beyond FSN-GTI’s control, a reasonable alternative (remote delivery or access extension) shall be offered.

Intellectual Property
a)All Intellectual Property in the Website, Course Content, curricula, assessments, software tools, and branding is owned by FSN Solutions Limited or its licensors and is protected by applicable law.
b)The license granted under Section 6 does not transfer any ownership of Intellectual Property to you. All rights not expressly granted are reserved by FSN-GTI.
c)You must not: (i) reproduce, republish, or distribute Course Content for commercial purposes; (ii) remove or obscure any copyright or trademark notices; (iii) reverse-engineer any software tools; or (iv) use FSN-GTI’s trademarks, logos, or certification marks without prior written consent.
d)Work created independently by Learners as part of coursework or assessments remains the intellectual property of the Learner, subject to FSN-GTI’s IP and Course Content Policy.
e)FSN-GTI may request permission to use exemplary Learner work for educational or promotional purposes. Such use requires the Learner’s explicit written consent and will include appropriate attribution.

Learner Responsibilities and Academic Conduct
9.1 General Responsibilities
a)Attend scheduled live sessions punctually and engage with recorded materials within the timeframes specified for each course.
b)Complete and submit assignments, assessments, and projects honestly and in accordance with academic integrity standards.
c)Use FSN-GTI’s Website, LMS, and laboratory facilities in a lawful, respectful, and responsible manner.
d)Treat fellow Learners, mentors, instructors, and FSN-GTI staff with respect and professionalism.
e)Ensure that your technical equipment meets the minimum specifications published on the Website. FSN-GTI is not responsible for loss of access arising from insufficient equipment or connectivity.
9.2 Academic Integrity
a)You must not submit work that is not your own as entirely your own, including work generated by AI tools, unless disclosure of AI assistance is expressly permitted by the course instructor.
b)You must not engage in plagiarism, collusion, fabrication of data, impersonation, or any other form of academic dishonesty.
c)Where AI tool use is permitted, you must disclose which tools were used and how, as part of your submission.
d)Suspected academic misconduct will be investigated. Consequences may include: resubmission; a zero for the assessment; suspension or termination; or withholding or revocation of a certification.
e)FSN-GTI will inform the Learner of any allegation in writing and allow a reasonable opportunity to respond before determination.
9.3 Prohibited Conduct
The following conduct is strictly prohibited and may result in immediate suspension or termination without refund and, where applicable, referral to law enforcement.
a)Using offensive cybersecurity tools or knowledge acquired through FSN-GTI against any real-world system without express written authorization of the system owner.
b)Harassing, threatening, or abusing other Learners, instructors, mentors, or FSN-GTI staff through any channel.
c)Attempting to gain unauthorized access to FSN-GTI’s systems, databases, or the accounts of other Learners or staff.
d)Introducing malware, viruses, or malicious code into FSN-GTI’s systems or networks.
e)Sharing, selling, or distributing FSN-GTI’s Course Content to third parties.

Privacy and Data Protection
Your use of FSN-GTI’s Services is governed by the FSN-GTI Privacy Policy (Bangladesh Operations), which is incorporated into these Terms by reference. By accepting these Terms, you also accept the Privacy Policy.
The Privacy Policy sets out how FSN-GTI collects, uses, stores, shares, and retains your personal data. In the event of any conflict between these Terms and the Privacy Policy on matters relating to personal data, the Privacy Policy shall prevail.
FSN-GTI processes your personal data on the legal bases set out in the Privacy Policy, including contractual necessity, legal obligation, and, where applicable, your consent. You may withdraw consent for processing that is consent-based at any time without affecting your right to receive the core Services.

Warranties and Disclaimer
FSN-GTI warrants that:
a)It has the right to provide the Services and grant the licenses described in these Terms;
b)It will deliver the Services with reasonable skill and care;
c)Course Content will be accurate and up to date to the best of FSN-GTI’s knowledge at the time of publication.
Subject to the above, FSN-GTI does not warrant that:
i)The Services will be uninterrupted, error-free, or free from technical failures;
ii)The Website will be free from viruses or other harmful components;
iii)The Services will meet your specific personal or professional objectives;
iv)Completion of any course will guarantee employment, third-party certification, or any particular career outcome.

Limitation of Liability
To the maximum extent permitted by applicable law, FSN-GTI’s aggregate liability shall not exceed the total fees paid by the Learner in the twelve (12) months immediately preceding the event giving rise to the claim.
FSN-GTI shall not be liable for:
a)Indirect, incidental, consequential, or punitive damages;
b)Loss of data, profit, or opportunity, except where caused by FSN-GTI’s gross negligence or willful misconduct;
c)Interruption of Services caused by circumstances beyond FSN-GTI’s reasonable control;
d)Damage to your device or data arising from downloading or accessing Course Content, provided FSN-GTI has taken reasonable security precautions.
Nothing in these Terms limits or excludes FSN-GTI’s liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be excluded or limited under applicable Bangladeshi law.

Force Majeure
FSN-GTI shall not be in breach of these Terms, nor liable for any failure or delay, to the extent caused by a Force Majeure Event, including:
a)Natural disasters, floods, cyclones, earthquakes;
b)Epidemics, pandemics, or public health emergencies;
c)Acts of government, changes in law, or decisions of the Bangladesh Hi-Tech Park Authority;
d)Widespread internet or telecommunications infrastructure failures;
e)Cybersecurity incidents that could not have been prevented by reasonable measures.
Where a Force Majeure Event continues for more than thirty (30) days, FSN-GTI shall notify affected Learners and offer: (a) suspension and extension of access; (b) transfer to an equivalent alternative program; or (c) a pro-rata refund for the undelivered portion. The Learner shall elect within fourteen (14) calendar days.
14
Suspension and Termination
14.1 Termination by FSN-GTI
a)Breach of these Terms (with written notice and opportunity to remedy where capable);
b)Where continued access poses a material risk to safety, security, or wellbeing;
c)Where required by law, court order, or regulatory authority;
d)Where the Learner provided false information during enrolment.
14.2 Termination by the Learner
A Learner may withdraw from a course at any time by notifying FSN-GTI in writing. Financial consequences of withdrawal are governed by the Refund Policy.
14.3 Effect of Termination
a)The Learner’s license to access Course Content is revoked and all use must cease.
b)FSN-GTI shall retain personal data for the retention periods specified in the Privacy Policy.
c)Sections 8 (IP), 9.2 (Academic Integrity), 12 (Liability), 15 (Dispute Resolution), and 16 (Governing Law) shall survive termination.

Dispute Resolution
15.1 Informal Resolution
Before commencing formal proceedings, disputes must first be raised with FSN-GTI’s Grievance Officer (info@fsn-gti.com, +880 1602-058897). FSN-GTI will acknowledge within five (5) working days and endeavor to resolve within thirty (30) days.
15.2 Mediation
If unresolved informally within thirty (30) days, either party may refer the dispute to mediation administered by a mutually agreed mediator or, failing agreement, by the Bangladesh Mediation Foundation. Costs are shared equally unless the mediator directs otherwise.
15.3 Arbitration
If mediation does not resolve the dispute within sixty (60) days, either party may refer it to binding arbitration under the Arbitration Act, 2001 (Bangladesh). The seat shall be Dhaka; a sole arbitrator shall be appointed; proceedings shall be in English; and the award shall be final and binding.
Consumer Protection Carve-Out: Nothing in this section limits a Learner’s right to submit a complaint to the Consumer Rights Protection Directorate (CRPD) or to any other regulatory authority under applicable law.
15.4 Litigation
Either party may alternatively commence proceedings in the competent courts of Bangladesh. For disputes involving cybercrime or unlawful data access, the Cyber Tribunal shall have jurisdiction.

Governing Law
These Terms are governed by and construed in accordance with the laws of the People’s Republic of Bangladesh. Nothing in these Terms limits any rights you may have under applicable mandatory consumer protection laws.

Amendments to These Terms
FSN-GTI may amend these Terms from time to time. Material amendments will be communicated by email at least thirty (30) days before taking effect. Non-material amendments are effective upon posting on the Website.
Continued use after the effective date constitutes acceptance, provided: (a) you were notified in advance; and (b) the amendment does not require fresh consent under the Privacy Policy.
If you do not accept a material amendment, you may withdraw and receive a pro-rata refund for undelivered portions, provided you notify FSN-GTI within fourteen (14) days of the notice.

General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, Refund Policy, and any course-specific terms, constitute the entire agreement and supersede all prior representations, negotiations, and understandings.
Severability: If any provision is found invalid or unenforceable, it shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force.
Waiver: Failure to enforce any provision on any occasion shall not constitute a waiver of the right to enforce it on any other occasion.
Assignment: FSN-GTI may assign its rights with thirty (30) days’ written notice. Learners may not assign their rights without FSN-GTI’s prior written consent.
Notices: Formal notices shall be in writing and delivered by email to
info@fsn-gti.com (for FSN-GTI) or to the Learner’s registered email address.
